These Terms of Service (“Terms”) govern your use of Comedy HQ, a software service designed to help comedians organise and manage their professional comedy careers.

By creating an account or using Comedy HQ, you agree to these Terms.

If you do not agree to these Terms, you should not use Comedy HQ.

“Comedy HQ”, “we”, “us” and “our” refer to Reyhart Consulting Ltd and the Comedy HQ service.

“You” and “your” refer to the person using Comedy HQ.

2. THE COMEDY HQ SERVICE

Comedy HQ provides software and tools that may help you manage aspects of your comedy career, including:

  • gigs and bookings;
  • venues;
  • earnings and payments;
  • invoices;
  • contacts;
  • comedy material;
  • sets;
  • ideas;
  • content;
  • goals;
  • social media information;
  • calendar integrations;
  • other career-management information.

The features available may change over time as we develop the service.

We may add, modify or remove features where reasonably necessary to operate and improve Comedy HQ.

3. CREATING AN ACCOUNT

You must provide accurate information when creating your account and keep your account information reasonably up to date.

You are responsible for maintaining the security of your account and authentication credentials.

You must not:

  • share your account with another person;
  • impersonate another person;
  • create accounts for fraudulent purposes;
  • attempt to gain unauthorised access to another user's account.

You are responsible for activity carried out through your account unless that activity results from a security failure for which you are not responsible.

4. ELIGIBILITY

Comedy HQ is intended for users aged 18 or over.

By using Comedy HQ, you confirm that you are legally capable of entering into the agreement represented by these Terms.

5. BETA ACCESS

From time to time, Comedy HQ may operate private or invitation-only beta programmes.

Beta features may:

  • contain bugs or errors;
  • change without notice;
  • have limited functionality;
  • be temporarily unavailable;
  • be removed before general release.

Beta access does not guarantee continued access to a particular feature or version of Comedy HQ.

Where beta access is provided free of charge, no payment is due for the beta period unless we expressly tell you otherwise.

6. SUBSCRIPTIONS AND PAYMENT

Some Comedy HQ features may require a paid subscription.

The applicable price, billing period and any trial period will be shown to you before you purchase a subscription.

Unless otherwise stated:

  • subscriptions renew according to the billing period selected at purchase;
  • applicable charges are taken using the payment method associated with your subscription;
  • prices may change in the future, but we will provide appropriate notice where required by law.

If a free trial or discounted introductory period is offered, the specific terms of that offer will be displayed when you sign up.

7. CANCELLING YOUR SUBSCRIPTION

You may cancel your subscription using the cancellation controls made available through Comedy HQ or by contacting us where appropriate.

Unless applicable law requires otherwise, cancelling a subscription prevents future renewal but does not automatically refund amounts already paid for a completed billing period.

Nothing in these Terms limits any statutory cancellation, refund or consumer rights that apply to you.

We will not make cancellation unnecessarily difficult.

8. CONSUMER RIGHTS

If you are a consumer, you have legal rights in relation to digital services that cannot be excluded by these Terms.

Nothing in these Terms is intended to remove or restrict rights that you have under applicable UK consumer protection law.

Where a statutory right conflicts with these Terms, the statutory right takes precedence.

9. YOUR CONTENT

You retain ownership of information, material and content that you submit to Comedy HQ, subject to any rights that you grant us under these Terms.

This may include:

  • jokes;
  • comedy material;
  • writing;
  • ideas;
  • images;
  • videos;
  • gig information;
  • contacts;
  • notes;
  • other information you upload or enter.

We do not claim ownership of your comedy material simply because you store it in Comedy HQ.

10. LICENCE TO OPERATE THE SERVICE

You grant Comedy HQ a limited, non-exclusive licence to host, store, reproduce, process and display your content only as reasonably necessary to:

  • provide Comedy HQ to you;
  • operate the features you request;
  • maintain and secure the service;
  • create backups;
  • troubleshoot technical problems;
  • comply with legal obligations.

We do not acquire ownership of your content through this licence.

We do not use your private comedy material to advertise Comedy HQ or sell it to third parties.

11. SHARED VENUE DIRECTORY

Comedy HQ may contain a shared venue directory.

Information intentionally submitted or approved for the shared directory may be made available to other Comedy HQ users.

You should not submit confidential information, private notes, personal fees or other information to a shared directory record unless you intend that information to be shared.

Your private venue records remain separate from shared directory information.

12. GOOGLE AND THIRD-PARTY INTEGRATIONS

Comedy HQ may allow you to connect third-party services such as Google.

When you connect a third-party service:

  • you authorise Comedy HQ to perform the actions described during the connection process;
  • the third party's own terms and privacy policies may also apply;
  • you can generally disconnect the integration through the relevant controls.

Google Calendar integration may allow Comedy HQ to read calendar information for features you request and, where authorised, create, update or remove calendar events created by Comedy HQ.

You can revoke Google's access to Comedy HQ through your Google account settings.

Your use of Google services remains subject to Google's applicable terms and policies.

13. YOUR RESPONSIBILITIES

You agree not to use Comedy HQ:

  • unlawfully;
  • to infringe another person's intellectual property or privacy rights;
  • to upload malicious software;
  • to attempt to compromise the security of the service;
  • to reverse engineer or interfere with the service except where applicable law expressly permits it;
  • to access another user's account without permission;
  • to use automated methods to abuse or overload the service;
  • to use the service for fraudulent purposes.

You are responsible for ensuring that information you enter into Comedy HQ is accurate and that you have the right to provide it.

14. FINANCIAL AND CAREER INFORMATION

Comedy HQ provides organisational tools.

Information such as earnings totals, fees, invoices, gig classifications and financial summaries is provided to help you manage your own records.

You remain responsible for checking your records and making your own decisions about:

  • taxes;
  • accounting;
  • invoices;
  • contracts;
  • payments;
  • financial reporting;
  • career decisions.

Comedy HQ does not provide accounting, tax, legal or financial advice.

15. AVAILABILITY

We aim to keep Comedy HQ available and reliable, but we do not guarantee that the service will:

  • always be available;
  • always be error-free;
  • be compatible with every device or browser;
  • remain unchanged;
  • be free from interruptions.

We may temporarily suspend parts of the service where reasonably necessary for maintenance, security, upgrades or other operational reasons.

16. INTELLECTUAL PROPERTY

The Comedy HQ software, interface, branding, design, logos, trademarks, documentation and other materials provided by us are owned by or licensed to Comedy HQ and are protected by applicable intellectual property laws.

Except where these Terms or applicable law allow otherwise, you may not copy, reproduce, modify, distribute or commercially exploit Comedy HQ's proprietary materials without our permission.

You retain ownership of your own content as described above.

17. SUSPENSION AND TERMINATION

We may suspend or terminate an account where reasonably necessary if:

  • you materially breach these Terms;
  • your use presents a security risk;
  • your use is fraudulent or unlawful;
  • payment obligations remain overdue;
  • we are required to do so by law.

Where reasonably practicable, we will provide notice and an opportunity to resolve the issue before terminating an account, except where immediate action is reasonably necessary.

You may stop using Comedy HQ at any time.

18. WHAT HAPPENS WHEN YOUR ACCOUNT ENDS

When your account is cancelled or terminated, your access to Comedy HQ may stop.

We may retain certain information where required for:

  • legal compliance;
  • accounting;
  • fraud prevention;
  • dispute resolution;
  • security;
  • enforcement of these Terms.

Otherwise, personal information will be handled in accordance with our Privacy Policy.

19. THIRD-PARTY SERVICES

Comedy HQ may depend on third-party services and integrations.

We are not responsible for outages, changes or failures of third-party services that are outside our reasonable control.

This includes services such as authentication providers, payment providers, cloud infrastructure and connected calendar services.

20. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Subject to that:

  • Comedy HQ is provided for general professional organisation purposes;
  • you remain responsible for maintaining appropriate records and backups of important information;
  • we are not responsible for losses caused by information you entered incorrectly or decisions you made based on your own records;
  • we are not responsible for failures of third-party services outside our reasonable control.

To the extent permitted by law, we will not be liable for indirect or consequential losses arising from your use of Comedy HQ.

Nothing in these Terms affects your statutory consumer rights.

21. EVENTS OUTSIDE OUR CONTROL

We are not responsible for delays or failures caused by circumstances reasonably outside our control, including major internet outages, infrastructure failures, cyberattacks, natural disasters, government action or failures of third-party providers.

22. CHANGES TO THESE TERMS

We may update these Terms from time to time.

If we make material changes, we will provide reasonable notice where appropriate.

Your continued use of Comedy HQ after the effective date of updated Terms constitutes acceptance of the updated Terms where legally permitted.

23. GOVERNING LAW

These Terms are governed by the laws of England and Wales.

If you are a consumer, nothing in this section deprives you of any mandatory rights or protections available to you under the laws that apply to you.
